Introduction
Welcome to Kognitec. These Terms and Conditions govern your use of our data science and AI consulting services, website, and platforms. By accessing or using our services, you agree to be bound by these terms.
Services Offered
- Consulting Services: Data strategy, analytics, machine learning, and AI implementation consulting
- Custom Solutions: Development of tailored data science and AI models for specific business needs
- Training & Support: Knowledge transfer, documentation, and ongoing technical support
Engagement Terms
Service engagements begin upon acceptance of a signed Statement of Work (SOW) or project proposal.
All project scopes, deliverables, timelines, and fees are defined in the SOW and supersede general terms where applicable.
Changes to project scope require written approval from both parties and may result in adjusted timelines and fees.
Payment & Billing
- Payment terms are net 15 days from invoice date unless otherwise specified
- Milestone-based projects require upfront payment of 40% before work begins
- Monthly retainer packages are billed on the 1st of each month
- Late payments may incur a 2% monthly interest charge
Intellectual Property Rights
Client Data: All client data, business information, and proprietary materials remain the exclusive property of the client.
Deliverables: Upon full payment, ownership of custom deliverables (models, dashboards, reports) transfers to the client.
Pre-existing IP: Kognitec retains rights to pre-existing methodologies, frameworks, and tools used in service delivery.
Portfolio Use: Kognitec may showcase non-confidential project outcomes in marketing materials with client approval.
Confidentiality & Data Security
Both parties agree to maintain strict confidentiality of all proprietary information exchanged during the engagement.
Kognitec implements industry-standard security measures including encryption, access controls, and secure data storage.
Client data will not be shared with third parties except as required by law or with explicit client consent.
Confidentiality obligations survive termination of the service agreement.
Limitation of Liability
Kognitec's total liability for any claims arising from services shall not exceed the total fees paid for the specific engagement.
We are not liable for indirect, incidental, or consequential damages including loss of profits or business opportunities.
Predictions, forecasts, and analytical insights are based on historical data and statistical models, actual results may vary.
Termination
- Either party may terminate with 30 days written notice
- Immediate termination is permitted for material breach or non-payment
- Client remains responsible for payment of services rendered up to termination date
Governing Law & Dispute Resolution
These terms are governed by the laws of India.
Any disputes shall first be attempted to be resolved through good-faith negotiation.
If unresolved, disputes will be subject to arbitration in accordance with Indian Arbitration and Conciliation Act.
